TERMS & CONDITIONS: GAVEL GLORY AWARDS

Please read these Terms & Conditions (“Terms”, “Terms and Conditions”, “Terms of Use”) carefully before registering, accessing or using the services offered through the web application at https://gavelglory.com/ or other related subdomains as may be officially utilised by us from time to time (collectively, the “Gavel Glory Platform”). These Terms govern your access to and use of the Gavel Glory Platform and all services made available through it, including our professional development programmes such as conferences, seminars, webinars, awards, expeditions and other related offerings.

These Terms constitute a legal contract between the user of the services or the entity that you represent (“You”, “Your”) and Gavel Glory Ventures LLP, a limited liability partnership registered under the Limited Liability Partnership Act, 2008, with its registered office at B-22, Ground Floor, Jungpura Extension, New Delhi – 110014, India (“Gavel Glory”, “Firm”, “We”, “Us”). Our activities as operator of the Gavel Glory Platform include acting as a Data Fiduciary in respect of digital personal data processed for the purposes of providing our services, in accordance with the Digital Personal Data Protection Act, 2023 (“DPDP Act”).

By accessing or using the Gavel Glory Platform, registering an account, submitting information, or participating in any of our services (including conferences, seminars, webinars, awards, expeditions or other professional development initiatives), you acknowledge that you have read, understood and agree to be bound by these Terms and by our Privacy Policy, which forms an integral part of these Terms. If you do not agree to these Terms and/or the Privacy Policy, you should not use the Gavel Glory Platform and should discontinue use of the services.

If you represent an entity, organisation, or other legal person, you represent and warrant that you have the necessary power and authority to bind such entity, organisation, or legal person to these Terms, and references to “You” and “Your” shall be construed accordingly.

By using the services, you also acknowledge the manner in which we collect, use and protect your personal data in our capacity as a Data Fiduciary under the DPDP Act, including your rights as a Data Principal and the mechanisms available to you to exercise such rights, as set out in our Privacy Policy.

By providing information on the Gavel Glory Platform and accessing its services, you represent and warrant that:

You are 18 years of age or older;

You are capable of entering into a legally binding agreement; and

You are not barred or otherwise legally prohibited under any applicable law from accessing or using the services on the Gavel Glory Platform.

A. SERVICES

The Gavel Glory Platform is a professional development platform providing curated opportunities for learning, recognition and experiential engagement across diverse industries. Without limitation, the services offered through the Gavel Glory Platform may include:

Conferences, seminars and webinars: organisation, promotion and hosting of in-person and virtual conferences, seminars, workshops and webinars, including registration management, communication with participants, issuance of participation certificates, and related logistics and support.

Awards and recognition programmes: design, administration and management of professional awards and similar recognition initiatives, including inviting and processing nominations, evaluating applications, shortlisting, publishing results and related editorial and research activities.

Expedition tours, Sports Event and experiential programmes: curated expedition tours, sports events and other experiential or immersion programmes connected to professional, leadership and networking objectives, including coordination of itineraries, activities and communications with participants.

Other professional development services: such additional or ancillary services as we may introduce from time to time to support professional growth, including networking opportunities, curated content, newsletters, surveys, mentoring initiatives or other programme formats, whether delivered online or offline.

You acknowledge that Gavel Glory may expand, modify or discontinue any services, introduce new programme formats or functionalities, or adjust the manner in which existing services are offered through the Gavel Glory Platform, at its discretion. The Firm may, but is not obliged to, inform you of material changes in the services by way of a notice on the Gavel Glory Platform, by email or through any other reasonable mode of communication.

All services are informational and facilitative in nature and are not intended to constitute legal, tax, accounting, professional or other regulated advice. Participation in any programme, event, award or expedition is subject to the specific rules, eligibility criteria, schedules and communications applicable to that initiative, which may supplement these Terms.

B. DISCLAIMER

The Gavel Glory Platform and all content, information, events, awards, programmes and materials made available through it are provided on an “as is” and “as available” basis for general information and professional development purposes only. To the fullest extent permitted by law, the Firm disclaims all representations and warranties, express or implied, statutory or otherwise, including implied warranties of merchantability, fitness for a particular purpose, non-infringement and accuracy of content.

Without limiting the generality of the foregoing, the Firm does not represent or warrant that:

the Gavel Glory Platform or any of its contents are complete, accurate, up-to-date, reliable or non-infringing;

access to the Gavel Glory Platform or any of the services will be uninterrupted, timely, secure or error-free; or

the quality of any events, programmes, awards, information, materials or other services obtained by you through the Gavel Glory Platform will meet your expectations or specific requirements.

The Gavel Glory Platform may contain links to third-party websites, resources, services or advertisements (collectively, “Third-Party Content”). The Firm does not control, endorse, sponsor, recommend or assume responsibility for any Third-Party Content, including any information or services provided therein. Your access to or use of Third-Party Content is at your own risk and subject to the terms and privacy policies of such third parties.

You are responsible for ensuring that any use you make of materials accessed through the Gavel Glory Platform complies with applicable copyright and intellectual property laws. Any unauthorised use of copyrighted materials or other intellectual property may constitute infringement and could result in legal consequences. You are encouraged to obtain your own legal advice if you are uncertain about the permissibility of a particular use of content.

You remain solely responsible for verifying information obtained through the Gavel Glory Platform, for making your own professional or business judgments, and for ensuring compliance with all applicable laws, regulations, professional ethics obligations and data protection requirements, including your obligations under the DPDP Act in respect of personal data that you may process as a Data Fiduciary in your own capacity.

C. PROHIBITIONS ON USAGE

You may use the Gavel Glory Platform and services only for lawful purposes and in compliance with all applicable laws and regulations, including the Information Technology Act, 2000, the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, and any applicable data protection legislation. Without limiting the generality of the foregoing, you agree not to:

violate any applicable national or international laws or regulations in any manner;

exploit, harm or attempt to exploit or harm minors by exposing them to inappropriate content or otherwise;

impersonate or attempt to impersonate the Firm, any Firm employee, another user or any other person or entity;

engage in conduct that infringes the rights of others or that is unlawful, threatening, fraudulent, harmful, defamatory, obscene, invasive of privacy, or otherwise objectionable;

engage in any conduct that restricts or inhibits any person’s use or enjoyment of the services, or which, as determined by us, may harm the Firm or users of the services or expose them to liability;

use the services in any manner that could disable, overload, damage or impair the Gavel Glory Platform or interfere with any other party’s use of the services;

use any robot, spider or other automated device, process or means to access the services for any purpose, including monitoring or copying any material on the services;

use any manual process to monitor or copy any material on the services or for any other unauthorised purpose without our prior written consent;

introduce any viruses, trojan horses, worms, logic bombs or other malicious or technologically harmful material into the Gavel Glory Platform;introduce any viruses, trojan horses, worms, logic bombs or other malicious or technologically harmful material into the Gavel Glory Platform;

attempt to gain unauthorised access to, interfere with, damage or disrupt any part of the services, the server on which the services are hosted or any server, computer or database connected to the services;

launch any form of denial-of-service attack or distributed denial-of-service attack against the Gavel Glory Platform;

use the services to transmit any material that infringes intellectual property or other proprietary rights of the Firm or any third party;

rent, lease, loan, sublicense, distribute or otherwise transfer any rights to the services;

engage in any automated or manual scraping, harvesting, mining or extraction of data from the Gavel Glory Platform, including participant lists, programme data, or content relating to our conferences, seminars, webinars, awards or expeditions; or

otherwise attempt to interfere with the proper working of the Gavel Glory Platform.

D. CUSTOMER SOLICITATION POLICY

In connection with our professional development services, we may send you communications about new conferences, seminars, webinars, awards cycles, expedition opportunities, programme updates, surveys or related offerings. Where required under the DPDP Act, such communications will be sent only on the basis of your consent or where they fall within permissible “certain legitimate uses” of personal data.

You may manage your communication preferences or withdraw your consent at any time through the mechanisms described in our Privacy Policy (for example, account settings or unsubscribe links). Withdrawal of consent will not affect the lawfulness of processing based on consent before its withdrawal and will not generally affect your access to the core services, subject to any specific programme requirements.

E. INTELLECTUAL PROPERTY RIGHTS

All rights, title and interest in and to the Gavel Glory Platform, including:

the software, code, architecture and technical infrastructure;

the design, look and feel, structure, selection and arrangement of content;

all content created or curated by the Firm for its conferences, seminars, webinars, awards, expeditions and other programmes (including programme descriptions, editorial content, research summaries, branding material, and promotional content); and

all trade marks, logos, service marks and trade names used by the Firm in connection with its services,

(collectively, “Intellectual Property”) are owned by or validly licensed to the Firm and are protected by copyright, trade mark and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Gavel Glory Platform and to view content solely for your personal, non-commercial, professional development purposes, subject to these Terms. You are not permitted, without our prior written consent, to reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store or transmit any Intellectual Property, except as may be expressly allowed by law or by written permission from the Firm.

You may not use the Gavel Glory name, trade marks or logos in any manner (including for publicity or endorsement) without our prior written consent. You are expressly prohibited from selling, licensing, sublicensing or otherwise commercialising any content on the Gavel Glory Platform created and/or disseminated by us.

The Firm respects the intellectual property rights of others. If you believe that any content on the Gavel Glory Platform infringes your copyright or other intellectual property rights, you may notify us by sending an email to communications@gavelglory.com with sufficient details of the alleged infringement and supporting documentation. We may, at our discretion and in accordance with applicable law, remove or disable access to allegedly infringing material and/or take such other steps as we consider appropriate.

F. DISCONTINUATION OF OPERATIONS

The Firm reserves the right, in its sole discretion, to suspend, discontinue or cease operating the Gavel Glory Platform or any part of the services (including particular conferences, seminars, webinars, awards programmes, expeditions or other initiatives) at any time, temporarily or permanently, with or without notice. To the extent required by applicable law in relation to personal data, we will handle any resulting data retention or deletion in accordance with our Privacy Policy and the DPDP Act, including obligations relating to data erasure and retention for lawful purposes.

G. INDEMNIFICATION AND LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, in no event shall the Firm, its partners, officers, employees, agents, licensors, licensees, contractors or affiliates be liable to you or any third party for any special, incidental, indirect, consequential or punitive damages, or for any loss of data, profits, goodwill or other intangible losses, arising out of or in connection with your access to or use of (or inability to use) the Gavel Glory Platform or any services, whether based on contract, tort (including negligence), strict liability or any other legal theory, even if the Firm has been advised of the possibility of such damages.

You agree to indemnify, defend and hold harmless the Firm and its officers, agents and employees from and against any claims, demands, damages, losses, liabilities, penalties, costs and expenses (including reasonable attorneys’ fees) arising out of or in connection with:

your breach of these Terms, the Privacy Policy or any other applicable policies;

your violation of any applicable law, rules or regulations;

your infringement or alleged infringement of any intellectual property or other rights of a third party or of the Firm; or

your unauthorised, improper, illegal or wrongful use of the Gavel Glory Platform or services (including by any person who accesses the services using your account or credentials).

This indemnification obligation shall survive the termination or expiry of these Terms and your use of the services.

H. TERM & TERMINATION

These Terms shall remain in force from the time you first access or use the Gavel Glory Platform until terminated in accordance with this section. The Firm may, at its sole discretion and without prior notice, suspend or terminate your access to, or use of, all or any part of the services if you breach any provision of these Terms, the Privacy Policy or any applicable law, or if your conduct is otherwise harmful or potentially harmful to the Firm, other users or third parties.

Upon termination, all rights granted to you under these Terms shall immediately cease and you shall discontinue all use of the Gavel Glory Platform. Provisions of these Terms which by their nature are intended to survive termination (including those relating to intellectual property, disclaimers, limitation of liability, indemnity, governing law and dispute resolution) shall continue in full force and effect.

Upon termination, we will delete or anonymise your personal data in accordance with applicable law and our Privacy Policy, subject to any legal or regulatory retention obligations that require us to retain certain records, consistent with the DPDP Act.

I. GENERAL TERMS AND CONDITIONS

1. Infringements: The Firm shall have the right, in its sole discretion, to initiate proceedings and prosecute claims against third parties for infringement of its rights in relation to the Gavel Glory Platform and services.

2. Force Majeure: Neither party shall be liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, fire, natural disasters, war, terrorism, labour disputes, governmental actions or failures of carriers or utilities. Any obligation affected by such event shall be suspended for the duration of the event, provided that there shall be no waiver of any liability for due and payable fees.

3. Notices: Any notice required under these Terms may be given by the Firm by general notification on the Gavel Glory Platform and/or by email to your registered email address. You may send notices to the Firm by email to communications@gavelglory.com or by certified or registered mail to the Firm’s registered office address. Notices shall be deemed delivered when sent successfully to the last provided contact details.

4. Jurisdiction and Arbitration: These Terms shall be governed by and construed in accordance with the laws of India. Subject to the arbitration provision below, the courts at Delhi, India shall have exclusive jurisdiction over all disputes arising out of or in connection with these Terms or the use of the Gavel Glory Platform. Any dispute not resolved amicably within 90 working days of written notice shall be finally settled by a sole arbitrator appointed in accordance with the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Delhi and the language shall be English.

5. Agreement Binding on Successors: These Terms shall bind and inure to the benefit of the parties and their respective successors and permitted assigns.

6. Entire Agreement: These Terms, together with the Privacy Policy and any specific programme-specific terms notified to you, constitute the entire agreement between you and the Firm regarding the subject-matter hereof and supersede all prior understandings in relation to such subject-matter.

7. Waiver: No failure or delay by the Firm in exercising any right or remedy under these Terms shall constitute a waiver thereof, and no single or partial exercise shall preclude any other or further exercise of any right or remedy.

8. Severability: If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be enforced to the maximum extent permissible and the remaining provisions shall remain in full force and effect.

9. Assignment: You shall not assign or transfer these Terms or any rights or obligations hereunder without the Firm’s prior written consent. The Firm may freely assign or transfer its rights and obligations under these Terms without your consent.

10. Independent Contractors: The relationship between you and the Firm is that of independent contractors. Nothing in these Terms shall create any partnership, joint venture, employment or agency relationship.

11. Separate Individual Agreement: The Firm may enter into a separate written agreement with you in relation to a specific programme or engagement (for example, as a speaker, partner or sponsor). In the event of any conflict between such agreement and these Terms, the provisions of the separate agreement shall prevail to the extent of such conflict.

J. CHANGES TO THESE TERMS

The Firm reserves the right, at its sole discretion, to modify or replace these Terms at any time. We will make reasonable efforts to provide notice of material changes, which may include a notice on the Gavel Glory Platform or by email. Your continued access to or use of the Gavel Glory Platform after such changes become effective will constitute your acceptance of the revised Terms. If you do not agree with the revised Terms, you should stop using the Gavel Glory Platform and its services.

To the extent that any change materially affects the manner in which we process your personal data or your rights as a Data Principal under the DPDP Act, we will provide you with specific notice in accordance with our Privacy Policy and any applicable legal requirements, including, where necessary, the opportunity to review such changes before they become effective.
